These Terms of Service ("Terms") are a legal contract between You and Vuereka LLC ("Us," "Our," or "We") and govern Your use of this website (vuereka.com), the services and related technologies We may provide through any of Our websites ("Services"), and all text, data, information, software, graphics, photographs, and other materials that We may make available to You (collectively, "Materials"). Unless otherwise stated, references to the "Service" include all of Our websites and Services.

General Use

We invite You to use the Service for individual, consumer, and business purposes ("Permitted Purposes").

By using the Service, You represent that You are at least 18 years of age.

We grant You a limited, personal, non-exclusive, and non-transferable license to use and display the Materials and to access and use the Service for Permitted Purposes. If You breach any of these Terms, the above license will terminate automatically.

Use of AI-Powered Features

VueReka includes AI-powered features for content generation, including title suggestions, description writing, script assistance, and other creative tools ("AI Features"). These AI Features use large language models provided by third-party providers including, but not limited to, Anthropic (Claude), OpenAI, and other AI service providers.

Data Sharing with AI Providers

By using AI Features, You acknowledge and agree that:

  • Your prompts, inputs, and relevant context may be transmitted to third-party AI providers for the purpose of generating responses.
  • The processing of this data is governed by the terms and privacy policies of the respective third-party providers.
  • VueReka LLC does not control and is not responsible for the behavior, output, or consequences of using these third-party AI services.

No Warranties on AI-Generated Content

VueReka LLC makes no guarantees about the accuracy, completeness, legality, originality, or suitability of content generated by AI Features. All AI-generated outputs are provided "AS IS," without warranty of any kind. VueReka LLC disclaims all warranties related to the accuracy, reliability, completeness, or usefulness of any AI-generated content.

User Responsibility for AI Content

You agree that:

  • You use AI Features at Your own discretion and risk.
  • You are solely responsible for reviewing, editing, and ensuring the accuracy, compliance, and appropriateness of all AI-generated content before relying on, publishing, or otherwise using it.
  • You must not use AI Features to generate or disseminate harmful, unlawful, infringing, defamatory, or unethical content.
  • You are responsible for ensuring that any AI-generated output You use complies with applicable laws, regulations, platform policies (including YouTube's policies), industry standards, and any contractual obligations.
  • You may not use AI Features to process or transmit sensitive personal data, confidential client information, or data subject to special regulatory requirements (e.g., HIPAA, GDPR sensitive categories) without appropriate safeguards.

AI Usage Limits

AI Features are subject to usage limits as outlined in Your subscription plan. Additional usage may incur charges. VueReka reserves the right to monitor usage, restrict access, or suspend AI Features in cases of abuse, misuse, or violation of these Terms.

Prohibited Activities

In addition to the restrictions set forth elsewhere in these Terms, You agree that You will NOT:

  • Data Scraping: Use any automated means, including but not limited to bots, scrapers, spiders, crawlers, or other automated tools to access, collect, harvest, or extract any data, content, or information from the Service, whether for personal use, commercial purposes, or any other reason.
  • Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of the Service or any software, technology, or Materials provided through the Service. If We discover or reasonably believe that You have engaged in any reverse engineering activities, You expressly agree that such dispute shall be resolved exclusively through binding arbitration as set forth in the Arbitration section of these Terms, and You waive any right to challenge this arbitration requirement.
  • Resale of Data or Analytics: Sell, license, sublicense, transfer, distribute, or otherwise make available to any third party any data, analytics, insights, reports, or other information obtained through Your use of the Service, whether in raw, processed, aggregated, or derivative form. All data and analytics provided through the Service are for Your internal use only.

Violation of any of these prohibitions constitutes a material breach of these Terms and may result in immediate termination of Your account and access to the Service, without refund, in addition to any other remedies available to Us under law or equity.

Using This Website and the Service

You may visit this website without registering with Us. However, to access certain features and Services, You must successfully register an account.

Account Registration

To create an account, You must provide:

  • A valid email address
  • Your first and last name
  • A preferred username and password

You are responsible for maintaining the confidentiality of Your password(s) and for all activities that occur under Your account. Should You believe Your password or account security has been compromised, You must immediately notify Us.

Subscriptions

By registering for an account, You may become a "Subscriber" with access to certain features of the Service. Each Subscription and the rights provided are personal and non-transferable.

IMPORTANT: DEPENDING ON THE BILLING OPTION YOU CHOOSE, WE WILL AUTOMATICALLY RENEW YOUR SUBSCRIPTION ON EACH MONTHLY OR YEARLY ANNIVERSARY UNLESS YOU CANCEL PRIOR TO THE RENEWAL DATE.

Cancellation Policy

You may cancel Your Subscription at any time by contacting Us. Cancellation requests must be submitted at least thirty (30) days prior to Your next billing cycle to take effect for that billing period. Cancellation requests received less than 30 days before the next billing date will take effect on the subsequent billing cycle.

Refund Policy

Due to the nature of Our digital services and the immediate access provided upon Subscription, all payments are final and non-refundable. We do not offer refunds for any Subscription fees, partial billing periods, or unused portions of Your Subscription. By subscribing to the Service, You acknowledge and agree that You will not be entitled to a refund for any reason, including but not limited to dissatisfaction with the Service, failure to use the Service, or early cancellation.

Payments

You agree to pay all applicable fees related to Your use of the Service. We may suspend or terminate Your account if Your payment is late or cannot be processed.

By providing a payment method, You authorize Us to charge the applicable fees, taxes, and other charges at regular intervals based on Your Subscription.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You hereby waive any right to participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding against VueReka, its officers, directors, employees, agents, or affiliates.

If any court or arbitrator determines that this class action waiver is void or unenforceable for any reason, or that arbitration can proceed on a class basis, then the arbitration provision set forth above shall be deemed null and void in its entirety, and the parties shall be deemed to have not agreed to arbitrate disputes.

Electronic Communications

By using the Service, You consent to receiving electronic communications from Us. These may include notices about fees, transactional information, and other information related to the Service.

Third-Party Sites and Services

The Service may contain links to third-party websites. We are not responsible for any third-party websites or their content. If You access third-party websites, You do so at Your own risk.

YouTube Integration and Third-Party Platform Terms

Binding to YouTube Terms of Service

VueReka integrates with YouTube's services through the YouTube API. By connecting Your YouTube account to VueReka or using any features that interact with YouTube, You agree to be bound by the YouTube Terms of Service and Google Privacy Policy.

YouTube API Services

By using VueReka's YouTube integration features, You acknowledge and agree that:

  • VueReka accesses YouTube data on Your behalf through YouTube API Services.
  • Your use of YouTube data through VueReka must comply with YouTube's Terms of Service and Community Guidelines.
  • VueReka is not responsible for any actions taken by YouTube against Your channel or account based on content You create, publish, or manage using our Service.
  • You are solely responsible for ensuring that any content published to YouTube through our Service complies with YouTube's policies and guidelines.

Revoking YouTube Access

You may revoke VueReka's access to Your YouTube account at any time through Your Google Account settings at https://myaccount.google.com/permissions. Revoking access may limit or disable certain features of the Service.

Proprietary Rights

"Vuereka" and related trademarks belong to Us. Other trademarks on the Service are the property of their respective owners.

Unless otherwise specified, all Materials on the Service are Our sole property. All rights not expressly granted are reserved.

User Content

We do not claim ownership rights in any content You provide ("User Content"). By making User Content available through the Service, You grant Us a non-exclusive, worldwide, royalty-free license to use, copy, modify, and distribute Your User Content in connection with operating the Service.

You represent and warrant that You own or have the necessary rights to Your User Content and that it does not infringe any third-party rights.

Disclaimer of Warranties

THE SERVICE AND ALL MATERIALS ARE PROVIDED "AS IS" AND "WITH ALL FAULTS." WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS, HOWEVER ARISING.

Limitation of Liability for AI-Generated Content

To the fullest extent permitted by applicable law, VueReka LLC shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from:

  • The use of AI Features or reliance on any AI-generated content
  • Errors, omissions, or inaccuracies in AI-generated content
  • Copyright, trademark, or other intellectual property claims arising from AI-generated content
  • Regulatory compliance failures related to content generated using AI Features
  • Reputational harm arising from publication of AI-generated content
  • Any business losses resulting from content produced using AI Features
  • Actions taken by YouTube or other platforms based on content created with our Service

Sensitive and Regulated Use

The Service, including AI Features, is not intended for use in any context where accurate, professional, or regulatory-compliant output is required without human review. This includes, but is not limited to:

  • Medical, health, or wellness advice
  • Legal advice or legal document preparation
  • Financial, investment, or tax advice
  • Content intended for regulated industries without appropriate professional review

You agree not to rely solely on AI-generated content for such purposes without independent professional verification.

Feedback

Any feedback You provide about the Service will be treated as non-confidential and non-proprietary. You assign all rights in such feedback to Us, and We may use it without compensation to You.

Arbitration

At either party's election, disputes arising from these Terms may be resolved by binding arbitration conducted before JAMS in Bellingham, Washington. The arbitrator's decision will be final and binding.

Notwithstanding the above, either party may seek temporary or preliminary injunctive relief in court to avoid immediate and irreparable harm.

General Provisions

These Terms are governed by the laws of the State of Washington and applicable U.S. federal law, without regard to conflict of law provisions. Any disputes not subject to arbitration shall be heard in the courts located in Whatcom County, Washington.

If any provision of these Terms is deemed invalid, the remaining provisions shall continue in effect. Our failure to enforce any provision does not waive Our right to do so. These Terms constitute the entire agreement between You and Us.
